01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Cohorova, a brand of The Nelson M Group LLC ("Cohorova," "we," "us"). They govern your use of cohorova.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If you do not agree to them, you should not use the Services.

02What Cohorova is, and is not

Cohorova is an information service. We publish general, plain-language details about how clinical research works, how to read a study listing, what informed consent means, and which inquiries to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we will not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other third-party partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Cohorova, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We do not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

To use the Services you must be 18 or older, be located in the United States, and have the capacity to enter a binding contract. Send us information only about yourself or about someone who has given you permission to do so.

04Your information and accuracy

Accurate, current information is required, and you agree to update it as needed. Do not give us a mobile number unless it is yours or you are authorized to use it. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

You agree, if you opt in, to receive email from us and, only for the boxes you check, automated text messages as described in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. 06Text messaging: rates, frequency, STOP and HELP

Message and data rates may apply. Message frequency may vary (up to about 8 messages a month, depending on the topics you choose). Text START to join, or opt in with the form on our Get Started or text updates page. Consent is not a condition of purchase or of using the Services.

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 888-912-1834.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

The these are prohibited: (a) submitting false or misleading data, or details about someone else without authority; (b) unlawful, fraudulent, or abusive use of the Services; (c) disrupting the Services or attempting unauthorized access; (d) using bots or automation to submit forms; (e) copying, scraping, or reselling our content without permission; and (f) impersonating a person or entity. Breaking these rules may lead us to suspend or end your access.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) are run independently of us. Mentioning one is not an endorsement of any product, plan, or provider, and we are not responsible for third-party conduct, content, or results. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, for example the Cohorova name, logo, text, graphics, and design, are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Services for personal, non-commercial uses. Photographs on the Site are used under their respective free-use licenses.

10Disclaimers

No warranties of any kind, express or implied, apply to the services or content, which are supplied "as is" and "as available." This includes implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We also do not warrant that the services will be uninterrupted, error-free, or secure, or that any message will be delivered on time or at all.

Cohorova does not supply financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

Where the law permits, Cohorova and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12Indemnification

You agree to hold The Nelson M Group LLC, its affiliates, and its personnel harmless, and to indemnify them, for claims, damages, and expenses (reasonable attorneys' fees included) arising from your violation of these Terms, from misuse of the Services, or from giving a phone number or other information that you were not authorized to supply.

13Disputes, governing law, and arbitration

Informal resolution first. Start by writing to us at [email protected] giving us 30 days to try to work it out.

Binding arbitration. Small-claims matters and claims for injunctive relief against intellectual-property misuse are excluded. Any other dispute between you and Cohorova or The Nelson M Group LLC that arises out of or relates to these Terms or the Services will be settled by final, binding, individual arbitration run by the American Arbitration Association under its Consumer Arbitration Rules. You choose whether the arbitration takes place in your county of residence or by video or phone. The arbitrator can grant the same individual relief a court could, and any court of competent jurisdiction may enter judgment on the award.

Class-action waiver. You and Cohorova each waive, to the extent the law permits, any right to bring claims as a plaintiff or class member in a class, collective, or representative action; claims may be brought on an individual basis only.

Opt-out. You have 30 days after first accepting these Terms to opt out of arbitration, which you do by emailing [email protected] using the subject line "Arbitration Opt-Out" and giving your name and mobile number.

Governing law. These Terms are governed by the laws of the state in which The Nelson M Group LLC has its principal place of business, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to the arbitration clause, the state and federal courts based in that state have exclusive jurisdiction.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. Access may be suspended or terminated by us at our discretion, for example for violations of these Terms. Sections that by nature are intended to survive, including disclaimers, limitation of liability, indemnification, and disputes, remain in force after termination.

15Changes

We reserve the right to revise these Terms. Revised Terms will carry a new "Last updated" date, and your continued use of the Services after the effective date counts as acceptance. We will give notice of material changes as the law requires.

16General

The entire agreement between you and us on this subject consists of these Terms, the Privacy Policy, and the SMS Terms. Should any part be found unenforceable, the rest continues in effect, and a failure by us to enforce a provision is not a waiver. Assignment by you requires our consent; we may assign these Terms in a merger or sale of the business.
